INTRODUCTION

This Organzer Agreement (“Agreement”) is a legal agreement between XOPA LIMITED (together with its subsidiaries, affiliates, successors and assigns) And You (hereinafter referred to as the Organizers).

Please read the following agreement, along with its terms and conditions, the Africavotes terms of use and privacy policy carefully before accessing or using Africavotes services. note that these terms and conditions constitute a legal agreement between you (the organizer) and Africavotes (the service provider).you may not access or use any Africavotes services unless you agree to abide by all of the terms and conditions as contained in this agreement.

This document sets out the terms and conditions for the use of the Online Voting Platform (the "Platform") by pageant organizers (the "Organizers"). By using the Platform, Organizers agree to be bound by these terms and conditions.

USE OF THE PLATFORM

The Platform is owned and operated by XOPA LIMITED, and is provided to Organizers for the purpose of conducting online voting in connection with their pageants. Organizers may use the Platform for this purpose subject to these terms and conditions.

PERMITTED USE OF THIS WEBSITE

This Website is the property of africavotes.com. and your access to this Website is with our permission. Any unauthorized access or use will be, among other things, a trespass, and we reserve the right to pursue our legal rights for any unauthorized access or use of this Website, including seeking civil remedies and equitable relief to the fullest extent possible, as well as referral of matters to appropriate law enforcement agencies.

REVENUE SHARING

Organizers acknowledge and agree that the Platform will generate revenue from the sale of voting credits to pageant participants and their supporters. The revenue generated from the sale of voting credits will be shared between the Organizers and XOPA LIMTED on a 70/30 basis, with 70% of the revenue being paid to the Organizers and 30% being retained by XOPA LIMITED. The revenue sharing arrangement will be calculated and paid on a monthly basis.

LIMITATIONS AND LIABILITY

Organizers agree that XOPA LIMITED shall not be liable for any loss or damage arising from the use of the Platform, including, but not limited to, any errors or omissions in the Platform's content or any interruption or delay in the availability of the Platform.

CONFIDENTIALITY

Organizers agree to maintain the confidentiality of all confidential information disclosed by XOPA LIMITED, and to use such information only for the purpose of using the Platform in accordance with these terms and conditions.

TERMINATION

These terms and conditions are effective until terminated by either party. Either party may terminate these terms and conditions at any time by giving written notice to the other party. Upon termination, Organizers must cease all use of the Platform.

GOVERNING LAW

These terms and conditions will be governed by and construed in accordance with the laws of the home country of the organizer

CHANGES TO TERMS OF USE

XOPA LIMITED reserves the right to modify these terms and conditions at any time, and Organizers agree to be bound by such modifications.

These terms and conditions constitute the entire agreement between the parties with respect to the use of the Platform, and supersede all prior negotiations, representations, and agreements between the parties.
